Terms of Use

Please read these terms carefully. By opening a label account, ticking the acceptance box or using the Service, you accept all of these terms. If you do not accept them, do not use the Service.
1. Parties
These Terms of Use (the "Agreement") are entered into electronically between Digitalent Inc., 7901 4th St N STE 300, St. Petersburg, FL 33702, USA ("Digitalent"), the provider of the online software service offered under the MediaPineal brand (the "Service"), and the individual or entity that opens a label account on the Service (the "Label").
A person opening an account on behalf of a company or organisation represents that they are authorised to bind it to this Agreement; the person and the Label are jointly responsible for any unauthorised act.
2. Nature of the Service
The Service is a subscription-based software service that lets the Label manage artist profiles, release submissions, files, documents, messages, announcements and earnings information in one panel. The Service is provided from the United States of America.
Unless otherwise separately agreed in writing between the parties, Digitalent is not a party to the relationships between the Label and its artists, songwriters, composers, producers or other rights holders. Contracts, payments, share percentages and disputes between those persons are solely the Label's responsibility.
Digitalent does not promise that the Service will result in any release, stream, playlist placement, revenue or commercial outcome.
3. Account, access and security
The Label warrants that the information it provides at registration and afterwards is accurate, current and complete.
The Label is solely responsible for the security of its own account, the artist accounts it creates and every login permission it grants. Any action taken through these accounts is deemed to be taken by the Label. The Label will notify Digitalent without delay of any unauthorised use.
4. Label warranties on behalf of artists and rights holders
The Label represents and warrants that it has obtained, in advance, all rights, licences, permissions and consents needed for every sound recording, composition, lyric, image, document, artist detail, contact detail and earnings figure it uploads or enters.
The Label enters personal data of its artists and other persons under its own responsibility. For that data the Label is the data controller and Digitalent processes it only on the Label's behalf to provide the Service. The Label confirms that it has informed the persons concerned, obtained any required explicit consent and met the legal requirements for processing that data in the United States.
5. Confidentiality and sharing by the Label's free will
The Label acknowledges that it shares artist lists, artist details, earnings amounts, revenue and share percentages, contracts and documents on the Service entirely of its own free will. Digitalent does not request, direct or require the Label to share them.
Digitalent keeps this information confidential and does not sell or rent it to third parties. It is processed only to provide the Service, keep it secure, prevent misuse, answer support requests, comply with legal obligations and protect Digitalent's rights. The Label accepts that Digitalent's authorised personnel may access the information for these purposes.
Digitalent may use anonymised and aggregated statistics that do not identify any person to improve the Service.
Earnings and share figures are entered by the Label. Digitalent does not verify their accuracy and is not responsible for any dispute arising from them.
6. Content rights and licence
Rights in uploaded content remain with their owners. To make the Service work, the Label grants Digitalent a worldwide, non-exclusive, royalty-free licence, limited to the term of the Service, to host, store, copy, process, transmit and display that content to authorised users.
The Service's software, design, the MediaPineal brand and logo belong to Digitalent. The Label may not copy, reproduce or reverse engineer them, or resell or rent the Service to third parties.
7. Prohibited use
The Label and the users it creates may not upload content that infringes third-party rights or is unlawful, misleading or harmful; upload malware; attempt to bypass security measures, quotas or access limits; collect data from the Service by automated means; use the Service for unsolicited messages; or open accounts in someone else's name.
In case of breach Digitalent may remove content and suspend or close the account immediately.
8. Fees, payment and invoices
Plans are billed as monthly subscriptions in US Dollars (USD). Payments are collected in the United States by Digitalent Inc. through the payment service provider Stripe. Invoices for every payment are issued by Digitalent Inc. in accordance with United States law.
The subscription renews automatically at the end of each period until the Label cancels it, and the Label authorises recurring charges to its saved payment method.
Fees exclude taxes, withholding, duties, bank charges and currency conversion costs in the Label's country, all of which are borne by the Label.
Fees paid are non-refundable unless mandatory law requires otherwise. No refunds are given for partial periods. Plan changes are invoiced as shown at checkout.
Digitalent may change fees with at least 30 days' notice, effective from the first renewal after the notice. If a payment fails, the Service may be restricted or suspended.
9. Cancellation, suspension and termination
The Label may cancel its subscription at any time from the panel. Cancellation takes effect at the end of the paid period.
Digitalent may suspend the account or terminate this Agreement without prior notice in case of breach, non-payment, suspected unlawful activity, a request by a competent authority, or any situation that threatens the security of the Service, Digitalent or other users.
After termination the Label's data may be retained for up to 90 days and then deleted or anonymised. Records subject to legal retention (for example payment and invoice records) are kept for the required period. Exporting its data in time is the Label's responsibility.
10. Provision of the Service
The Service is provided "as is" and "as available". Digitalent gives no express or implied warranty that the Service will be uninterrupted, error-free or fit for a particular purpose.
Digitalent may improve, change or discontinue features of the Service. The Service may be temporarily unavailable due to planned maintenance, third-party outages or force majeure.
11. Limitation of liability
To the fullest extent permitted by law, Digitalent and its officers, employees and partners are not liable for indirect, incidental, special or consequential damages, loss of profit, revenue, data, reputation or business opportunity, loss of uploaded content, or acts of third parties.
Digitalent's total liability for all claims relating to this Agreement or the Service shall not exceed the fees actually paid by the Label to Digitalent in the three (3) months before the event giving rise to the claim.
12. Indemnification
The Label will defend, indemnify and hold harmless Digitalent, its officers and employees against any claim, lawsuit, administrative sanction, loss, cost and attorney's fees arising from content and information the Label uploads or enters, its relationships with artists and rights holders, earnings and share disputes, or its breach of this Agreement or applicable law.
13. Third-party services
Parts of the Service are delivered through third-party services: Stripe for payments, an email delivery provider for notifications, Google reCAPTCHA to block automated sign-ins, and infrastructure providers for hosting. Use of these services is also subject to their terms. Digitalent is not responsible for their outages or errors.
14. Personal data
How personal data is processed is described in the Privacy Policy, which forms an integral part of this Agreement. The Label acknowledges that the Service is provided from the United States and that data is processed and stored there.
15. Changes to this Agreement
Digitalent may update this Agreement. The current version is published on this page and material changes are announced in the panel or by email. The Label may be asked to accept the updated version. Continued use of the Service after a change constitutes acceptance.
16. Governing law and venue
This Agreement is governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law rules. The courts located in Pinellas County, Florida have exclusive jurisdiction over any dispute arising from this Agreement or the Service, and the Label waives any objection to that venue.
The Label may bring claims only in its individual capacity and waives any class or representative action. Mandatory provisions of applicable law that cannot be excluded by contract remain unaffected.
17. Evidence
The parties agree that Digitalent's system logs, records of acceptance of this Agreement (including date, time, IP address and version), electronic correspondence and payment and invoice records constitute conclusive evidence in any dispute arising from this Agreement.
18. General
This Agreement is the entire agreement between the parties regarding the Service. If any provision is held invalid, the remaining provisions stay in effect. Digitalent's failure to enforce a right is not a waiver of it.
The Label may not assign its rights or obligations without Digitalent's written consent. Digitalent may assign this Agreement in connection with a merger, acquisition or transfer of assets.
This Agreement is made in Turkish and English. In case of any conflict between the two, the English version prevails.

Privacy Policy

This policy explains which data is processed within the MediaPineal Service, for what purposes and how.
1. Provider and roles
The Service is provided by Digitalent Inc., 7901 4th St N STE 300, St. Petersburg, FL 33702, USA.
For label account data (the authorised person, company and billing details) Digitalent is the controller. For artist and rights holder data the Label enters into the Service, the Label is the controller and Digitalent processes that data only on the Label's behalf to provide the Service.
2. Data we process
Account data: full name, email, phone, company name and country.
Billing data: company name, billing address and tax ID. Card details are processed directly by Stripe; Digitalent never sees or stores your card number.
Data entered by the Label: artist names, contact details, store links, sound recordings, cover art, lyrics, documents, earnings amounts and share information.
Usage and security data: IP address, browser details, login and activity logs, acceptance records and records of notification emails sent.
3. Purposes and legal bases
Data is processed to enter into and perform the contract (providing the Service, account management, notifications, payments and invoices), to meet legal obligations (tax and accounting records, requests from authorities), for legitimate interests (security, preventing misuse, improving the Service) and, where required, on the basis of explicit consent.
4. International transfer
The Service is provided from the United States and data is processed and stored on servers there. At registration the Label gives explicit consent to this transfer of its own data and confirms that it has informed the artists and rights holders whose data it enters and obtained the required permissions.
5. Sharing
Data is not sold, rented or shared for advertising. It may be shared only with service providers needed to run the Service (Stripe, an email delivery provider, Google reCAPTCHA, hosting infrastructure), where required by law or a competent authority, to protect Digitalent's rights, or in a merger, acquisition or transfer of assets.
6. Confidentiality of artist and earnings data
Artist lists, earnings amounts and share information are entered by the Label of its own will and kept confidential by Digitalent. They can be accessed only by authorised Label users, the artist concerned (limited to their own data) and Digitalent's authorised personnel for operating, securing and supporting the Service.
7. Retention
Data is kept while the account is active and deleted or anonymised within 90 days after the account closes. Payment, invoice and acceptance records are kept for the periods required by United States law.
8. Security
Connections are encrypted, uploaded files are never stored at public addresses and file links only work, for a limited time, in an authorised session. Access is limited by role. Even so, no transmission or storage over the internet is completely secure and Digitalent does not guarantee absolute security.
9. Cookies
The Service uses only cookies it needs to work: session, language preference and "remember me". Google reCAPTCHA on sign-in and sign-up pages may set its own cookies. No advertising or tracking cookies are used.
10. Your rights
You may request access to, correction, deletion or restriction of your data and object to its processing. Artists should first contact their Label about data the Label entered. Requests can be sent to the address below; Digitalent may ask you to verify your identity.
11. Age
The Service is not intended for anyone under 18. The Label confirms it has parental or guardian consent for any artist under 18.
